Terms of Service

These terms are a contract between you and Yonto Sales Ltd ("Yonto", "we", "us") governing your use of the Yonto creator-attribution service. Please read the highlighted clauses carefully — they limit our liability and describe how attribution figures should be understood.

1. Agreement to these terms

By creating an account, accessing, or using Yonto(the "Service"), you agree to these Terms of Service. If you are entering into these terms on behalf of a business, you confirm you have authority to bind that business, and "you" refers to that business.

2. What the Service does

Yonto helps you attribute sales, signups, and leads to the individual creators you work with, using a tracked link, a discount code, and — where connected — a Shopify order webhook. It reports figures such as attributed revenue, return on ad spend (ROAS), and cost per customer.

3. Accuracy of attribution figures

Important — figures are estimates, not guarantees

Attribution is inherently incomplete. Yonto can only measure what it can prove. It cannot measure cross-device purchases, purchases made after cookies are cleared or blocked, purchases where the shopper rejected tracking cookies, or "dark social" sharing (screenshots, private messages, word of mouth).

Every figure Yonto reports is therefore a confident floor — an estimate, not a guarantee — of the sales a creator influenced, and may understate or, in rare cases, misattribute activity. You are solely responsible for your own commercial decisions. To the fullest extent permitted by law, we accept no liability for any decision you make on the basis of figures reported by the Service.

4. Business use only

Business use only
The Service is provided strictly for business purposes. By using it you confirm that you are acting in the course of a business or trade and not as a consumer. Consumer-protection rules that apply only to consumers do not apply to your use of the Service.

5. Your account

You are responsible for keeping your account secure and for all activity under it. You must give accurate information and keep it up to date. We use passwordless sign-in (a link sent to your email), so keep control of your email account.

6. Plans, fees and price changes

Paid plans are billed in advance on a recurring basis in the currency shown at checkout. Applicable taxes (VAT, GST, sales tax) are added at checkout by our payment provider acting as merchant of record.

  • We may change plan prices. We will give at least 30 days' notice of any price increase affecting you.
  • Founding members: if you joined on a founding rate, that rate is honoured for as long as your subscription remains continuously active. If you cancel or your subscription lapses, the founding rate is lost and standard pricing applies to any new subscription.

7. Free trial

Where a free trial is offered, we will email you a reminder before your first charge. If you cancel before the trial ends, you will not be charged. See our Refund Policy.

8. Refunds

Our refund terms are set out in the Refund Policy, which forms part of these terms. In short: we do not refund partial or unused periods; you may cancel any time and keep access until the end of the paid period.

9. Your data, and our right to use aggregated data

You own the data you and your store put into the Service ("Customer Data"). You grant us the rights needed to host and process it to provide the Service. Our handling of personal data is described in the Privacy Policy and, for business customers, the Data Processing Addendum.

Aggregated and anonymised data
You grant us a perpetual, irrevocable, royalty-free right to use aggregated, anonymised and de-identified data derived from use of the Service to operate, improve and develop the Service, including for benchmarks and analytical features. Aggregated output never identifies you, any individual customer, creator, or store, and cannot reasonably be used to re-identify any person or business.

10. Acceptable use

You agree not to misuse the Service, including by: using it unlawfully; infringing others' rights; attempting to break, overload, or reverse-engineer it; or using it to track individuals without a lawful basis. You are responsible for your own compliance with law when you deploy tracking on your site.

11. Third-party dependencies

Reliance on third parties
Some features depend on third-party platforms and APIs, including Shopify and our payment provider. Those third parties can change, deprecate, rate-limit, or discontinue their services at any time, which may affect or interrupt Yonto features — for example, Shopify order syncing. This is outside our control and is not a breach of these terms.

12. Availability

We work to keep the Service available but, on current plans, we provide no uptime guarantee or service level agreement (SLA). The Service is provided "as is" and "as available".

13. Suspension and termination

You may cancel at any time. We may suspend or terminate access where you breach these terms or fail to pay. Other than where the law or a serious breach requires immediate action, we will follow a proportionate process:

  • Warning — we notify you of the issue and a period to resolve it;
  • Suspension — if unresolved, we may suspend access;
  • Termination — if still unresolved, we may terminate the account.

14. Limitation of liability

Limitation of liability

To the fullest extent permitted by law, our total aggregate liability arising out of or related to the Service is limited to the total fees you paid to us in the 12 months immediately before the event giving rise to the claim.

We are not liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, goodwill, or anticipated savings, however arising.

Nothing in these terms limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for gross negligence.

15. Changes to these terms

We may update these terms. If we make material changes we will take reasonable steps to notify you, for example by email or in-app. Continued use after changes take effect means you accept the updated terms.

16. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where mandatory local law gives you a different right. Your non-excludable statutory rights are unaffected.
